Allied Blenders and Distillers walks away from Good Barrel Distillery deal

Allied Blenders and Distilles (ABD), an Indian alcoholic drink company, decided not to proceed with the majority share in Good Brent Distillery.

In January, ABD announced plans to get up to 51 % of the stock shares in Good Barre, and depend on business features, with an option to buy the entire paid -up capital.

However, this proposed acquisition will not continue.

In the stock exchange file on August 14, ABD said as part of the due care process, “Some commercial considerations appeared, which require re -negotiation on specific terms” and “despite the best efforts, the parties were unable to reach acceptable conditions, and thus the board of directors decided not to follow up with the proposed acquisition.”

Good Barrel, established in October 2021, is famous for the manufacture of alcoholic and non -alcoholic drinks, with Rock Paper Rum as a leading brand.

Abdel -Abed said that withdrawing the transaction will not have a material or financial impact, as the deal was still in the initial stages.

The company will continue to explore both organic and inorganic growth opportunities. “

Two months ago, ABD acquired UTO ASIA, a subsidiary of the Herman Jansen Group, for 1.2 million euros ($ 1.4 million).

The acquisition aims to provide “the rights of the world” and “the interest of the title” in Brande and the Brazie Mansion House brands and Savoy Club, with the exception of ten markets.

However, the ABD Supreme Court prevented the sale of these brands in India due to a continuous commercial lawsuit.

The legal lawsuit dates back to 2009, which included Hermann Yansen and the Tilaknagar Industries on brand rights.

Hermann Jansen sought a temporary judicial order against Tilaknagar to prevent the use of “Manssion House” and “Savoy Club” brands.

ABD listed on Indian stock exchanges last year.

Financially, ABD reported its “highest ever” profit after the Pat in the fiscal year 2025 (FY25), which ended on March 31, 2025.

In the fiscal year 25, its total income increased to 80.94 billion rupees (929 million dollars), an increase of 5.5 % over the 24th fiscal year.

Pat reached 1.95 billion rupees compared to 20 million rupees in the previous year.
