HCL succession: Shiv Nadar gifts 47% stake, Roshni Nadar Malhotra takes majority control

The billionaire Chef Nader, the founder of HCL, talent 47 % of his share in HCL Corp and Vama Delhi for his daughter, Roshni Nadar Malhotra, in a strategic caliphate plan.

After the transfer, Malhotra will become the majority of the majority and control of both entities, according to the passing of the stock exchange by HCLTECH and HCL Infosystems Ltd. This step strengthens its position as the largest contributor to HCL Infosystems and HCLTECH.

As part of the conversion, you will get the voting control of the VAMA DELHI share by 12.94 % and the 49.94 % HCL Corp share in HCL Infosystems. In HCLTECH, you will account for an additional 44.17 % stake of Vama Delhi and an additional 0.17 % of HCL Corp.

The official nature was added through two gifts that were implemented on March 6, 2025, ensuring the continuity of ownership within the Nader family. “Gift bonds were implemented according to the private family arrangement aimed at simplifying the caliphate, and ensuring stability and control by the Chef Nadar family,” the deposits were mentioned.

To facilitate the transition, granting the capital market organizer in India, the Securities Council and the Stock Exchange in India (SEBI), an exemption from making an open offer.

Before this conversion, a rare chef got a 51 % stake in both Vama Delhi and HCL Corp, while Malhotra had 10.33 %.

Malhotra, who holds a Bachelor’s degree from Northwestern University and Master of Business Administration from Kelog College of Administration, has been head of HCLTECH since July 2020. After her institutional role, she was actively involved in charitable works through the Chef Nadar Foundation, which focuses on education, and the confidence of habitats, which is devoted to conservation effort.
